Your Role

We are looking for a skilled and proactive Company Secretary to provide corporate governance and company secretarial support across TrustFlight’s Jersey entity and Subsidiarie companies. This permanent, full-time role, based in St. Helier, is ideal for a detail-oriented professional who enjoys working with senior stakeholders, ensuring statutory compliance, and maintaining strong corporate governance standards.

In addition to core company secretarial responsibilities, this position includes legal secretarial / paralegal-style support—such as document drafting, managing legal and corporate governance records, coordinating with internal and external parties, and supporting legal workflows. The role will also contribute to the legal review and administration of commercial contracts, helping ensure agreements are accurately recorded, compliant, and aligned with Group standards. You will play an important role in keeping the Group’s governance and legal framework accurate, compliant, and well-run.

Key Responsibilities

Corporate Governance & Compliance

  • Act as Company Secretary for TrustFlight Jersey and subsidiary entities, ensuring compliance with Jersey Registry requirements, UK Companies House obligations, and relevant governance frameworks.

  • Create and maintain statutory registers and corporate records, including directors, members, charges, and related documentation.

  • Monitor statutory deadlines and manage filings, ensuring accurate and timely submissions to relevant authorities.

  • Support corporate governance matters and transactions, including board and officer changes, registered office updates, share capital amendments, and other structural or constitutional updates.

Regulatory & Stakeholder Liaison

  • Liaise with the Jersey Judicial Greffe, Jersey Financial Services Commission (JFSC) Registry, UK Companies House, HMRC (where relevant), external legal advisers, auditors, and corporate service providers.

  • Coordinate regulatory communications and ensure appropriate documentation is prepared and retained for statutory and governance purposes.

Legal & Administrative Support

  • Provide legal secretarial / paralegal support, including drafting, proofreading, version control, and maintaining organised governance and legal filing systems.

  • Support the review and administration of customer contracts, including coordinating internal review cycles, tracking approvals, ensuring execution requirements are met, and maintaining accurate contract records and templates.

  • Assist with compliance activities such as KYC/CDD, corporate due diligence, and policy or regulatory documentation reviews.

  • Provide ad hoc governance and administrative support to the Executive Chairman, Finance Director, and senior leadership team as required.

Candidates with the following skills and experience are encouraged to apply. While not every criterion is mandatory, a strong foundation in company secretarial practice is required.

Essential Requirements

  • Entitled to work in Jersey and able to be based in St. Helier.

  • Proven experience in a company secretarial, corporate governance, or regulated administration role.

  • Working knowledge of Jersey and UK corporate filings, statutory registers, and governance processes.

  • Strong attention to detail with excellent organisational and deadline-management skills.

  • Ability to work independently, prioritise effectively, and handle confidential matters with discretion.

  • Clear and confident written and verbal communication skills, including experience supporting senior stakeholders.

  • Proficiency with Microsoft Office (Word, Excel, Outlook, SharePoint/Teams).

Preferred Qualifications

  • Experience as a legal secretary, paralegal, or in a legal support role (corporate or commercial law preferred).

  • Familiarity with JFSC governance expectations, UK Companies House standards, or regulated-entity administration.

  • Relevant professional qualification or progress toward one (e.g., CGI/ICSA, legal studies, or equivalent).

  • Experience supporting multi-entity or international group structures.

  • Interest in technology, aviation, or compliance-focused industries.
